Terms of Service

The terms that govern your use of flowdesk.systems and your engagement with Flowdesk Systems Ltd.

1. Agreement to Terms

By accessing flowdesk.systems ("Site") or engaging Flowdesk Systems Ltd ("we", "us", "Flowdesk") for services, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use the Site or our services.

2. Services

Flowdesk provides:

• Workflow automation • Custom SaaS builds • AI integrations & API development • n8n automation pipelines • Ongoing support retainers

Service descriptions on this Site are indicative. A formal proposal, scope of work and/or statement of work governs each client engagement.

3. Pricing and Payment

• Published pricing tiers (Starter, Growth, Enterprise and support retainer) are indicative starting prices in New Zealand Dollars (NZD) and exclude GST unless stated otherwise. • Final pricing is confirmed in writing after a scoping/discovery process. • Payments are tied to agreed milestones. Unless otherwise agreed, invoices are payable within 14 days of issue. • Late payments may accrue interest at 1.5% per month (or the maximum rate permitted by law, whichever is lower) after 14 days overdue.

4. Client Responsibilities

To enable us to deliver services, you agree to:

• Provide accurate, complete and timely information. • Grant reasonable access to the systems, APIs and tools required for integration. • Review deliverables within agreed timeframes. • Secure any third-party credentials or permissions needed for integrations.

Delays caused by missing client information or access may affect timelines and costs.

5. Intellectual Property

• Pre-existing IP: Each party retains ownership of its pre-existing background IP.

• Deliverables: Upon full payment for a project, you own the specific deliverable(s) produced for you (code, configurations, documentation), excluding Flowdesk's underlying frameworks, tools, templates and reusable components.

• Portfolio: Flowdesk may use anonymised project details and outcomes in marketing, unless you opt out in writing before delivery.

6. Acceptable Use

You must not:

• Use our services or integrations for unlawful, harmful or fraudulent activities. • Attempt to reverse-engineer, resell or sublicense deliverables beyond your internal business use without written consent. • Interfere with or disrupt the integrity or performance of third-party platforms we connect to.

Web3Forms and integration partners have their own terms. You remain responsible for complying with applicable third-party terms.

7. Disclaimers

• Services are provided on the basis that results may vary. Historical metrics on the Site (e.g. "12.4 hrs saved", "99.9% uptime") are illustrative and not guaranteed.

• The Site and its content are provided "as is". We do not warrant uninterrupted access or error-free operation.

• We do not guarantee specific cost savings, uptime or business outcomes unless explicitly captured in a signed service document.

8. Limitation of Liability

To the maximum extent permitted by NZ law:

• Flowdesk is not liable for indirect, incidental, special or consequential loss, or loss of profit, data or revenue.

• Our aggregate liability arising out of or related to any engagement or these Terms is limited to fees paid by you to us in the three months immediately preceding the event giving rise to the claim.

This limitation does not apply to liability that cannot be excluded by law (e.g. death or personal injury caused by negligence).

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during an engagement, and to use it solely for performing or delivering services.

10. Term and Termination

• These Terms remain in effect for the duration of engagement and thereafter as needed for residual obligations.

• Either party may terminate a project engagement for material breach on 10 business days' written notice if the breach remains uncured.

• Fees for completed work, incurred costs and approved change orders remain due upon termination.

11. Governing Law and Jurisdiction

These Terms are governed by New Zealand law. Any disputes not resolved informally will be submitted to the courts of New Zealand.
